Year 2018 Case Nr B 83/17, The provision in Chapter 7, Section 54, first paragraph, of the Companies Act that a provision on arbitration in an article of association has the same effect as an arbitration agreement only applies to disputes where the company is a party on one side and where the board of directors, a shareholder or a company officer brings the action in their capacity as a board of directors, a shareholder or a company officer. An employment dispute between the company and an employee, who in and of himself was also a shareholder and a board member, regarding claims based on the employment relationship, which did not concern the CEO, has thus not been considered to be covered by the provision.
